ETHICS: PROTECTING THE ATTORNEY-CLIENT PRIVILEGE IN M&A & OTHER TRANSACTIONS

This program will discuss the applicability of the attorney-client privilege and the work product doctrine in connection with mergers and acquisitions and other transactions, including jurisdictional differences related to contractual protections intended to preserve the privilege in the event of a post-closing dispute. Participants will be made aware of typical pitfalls and concerns that could result from failing to proactively address the control of privilege post-closing.
